Before You Register in SAM.gov: Get Your Business Structure Right

One of the most common mistakes I see from new contractors is jumping straight into SAM.gov before their business foundation is in place. Incorporating as an LLC or corporation isn't technically required to register, but it makes everything that follows smoother:

  • Liability protection. Government contracts carry real obligations. A formal entity separates your personal assets from the business.
  • Clean registration data. SAM.gov validates your legal business name and EIN against IRS records. Mismatches are one of the top causes of registration delays.
  • Certifications. 8(a), WOSB, SDVOSB and HUBZone reviews all look closely at ownership and control. Clear operating agreements and formation documents make those reviews far easier.
  • Credibility with primes. Teaming partners and contracting officers take an incorporated, in-good-standing company more seriously.
  • Audit readiness. Separate entity books and banking are the starting point for DCAA-compliant accounting.

Order of operations I recommend: form your entity, get your EIN, set up a registered agent and business bank account, then register in SAM.gov.

Full disclosure: helping businesses with formation, EINs and registered agent service is part of what we do at BizProz. Happy to answer questions here either way.
